They should be read together with the Legal Notice, Privacy Policy and Cookie Policy.

Specific yacht brokerage mandates, quotations, survey instructions, technical-service agreements, project agreements or other written terms may contain additional or different conditions. Where expressly agreed, those specific written terms will apply to the relevant engagement.

2. SCOPE OF THESE TERMS

These Terms & Conditions apply to general professional services requested from VLC Yachts unless different terms are expressly agreed in writing for a particular assignment.

Services may include, among others:

  • Yacht brokerage

  • Yacht search and selection

  • Yacht valuation

  • Superyacht brokerage

  • Yacht inspection coordination

  • Technical supervision

  • Sea trial supervision

  • Technical due diligence

  • Yacht refit support

  • Repair and maintenance coordination

  • Shipyard coordination

  • Documentation assistance

  • Project-based yacht services

  • Other professional marine or yacht-related assignments

The exact scope of each service will depend on the quotation, mandate, engagement letter or other written agreement applicable to the assignment.

4. QUOTATIONS

Where appropriate, VLC Yachts may issue a written quotation describing the proposed service.

A quotation may specify:

  • Yacht or project concerned

  • Location

  • Attendance date or estimated period

  • Professional fees

  • Travel expenses

  • Taxes

  • Third-party costs

  • Deliverables

  • Payment conditions

  • Estimated duration

  • Client responsibilities

Unless expressly stated otherwise, a quotation is based on the information available when it is prepared.

Material changes to the yacht, location, schedule, required scope or information supplied may require the quotation to be amended.

5. ACCEPTANCE OF A QUOTATION

A professional engagement is created only when the applicable requirements specified by VLC Yachts have been completed.

Depending on the service, these may include:

  • Written acceptance of the quotation

  • Acceptance of a brokerage mandate

  • Acceptance of specific service conditions

  • Confirmation of the scope of work

  • Receipt of requested documentation

  • Payment of an advance or agreed fee

  • Confirmation of attendance arrangements

The relevant quotation or agreement will identify the exact method of acceptance.

Where an electronic acceptance process is used, electronic communications and records may form part of the contractual documentation.

6. SPECIFIC AGREEMENTS TAKE PRIORITY

Certain services require specific contractual documentation.

Examples include:

  • Buyer representation mandates

  • Seller representation mandates

  • Brokerage agreements

  • Yacht valuation engagements

  • Survey or inspection instructions

  • Technical-supervision agreements

  • Refit or project-supervision agreements

Where there is a conflict between these general Terms & Conditions and an expressly agreed specific written agreement, the specific agreement will prevail for that assignment.

7. FEES

Professional fees will normally be stated in the relevant quotation, mandate or engagement agreement.

Fees may be:

  • Fixed

  • Daily

  • Hourly

  • Attendance-based

  • Project-based

  • Commission-based

  • Milestone-based

  • Calculated under another expressly agreed structure

The applicable basis will be defined before the relevant professional service is undertaken.

Unless expressly stated otherwise, quoted amounts should not be interpreted as including taxes or third-party costs where those items are separately applicable.

8. VAT, TAXES AND EXPENSES

Applicable VAT or other taxes will be added where required by law.

Depending on the assignment, additional expenses may include:

  • Travel

  • Mileage

  • Accommodation

  • Flights

  • Ferries

  • Parking

  • Marina access

  • Shipyard access

  • Haul-out

  • Lifting

  • Pressure washing

  • Laboratory analysis

  • Specialist technicians

  • External surveyors

  • Engineers

  • Classification or certification services

  • Administrative fees

  • Courier costs

  • Other third-party services

The quotation should identify known included and excluded costs where reasonably possible.

Costs that could not reasonably be anticipated when the quotation was prepared may require additional approval.

9. PAYMENT TERMS

Payment conditions will be defined in the applicable quotation or agreement.

Depending on the assignment, VLC Yachts may require:

  • Full payment in advance

  • A deposit or advance payment

  • Payment before attendance

  • Stage payments

  • Balance payment following attendance

  • Full payment before delivery of the final report or deliverable

Invoices must be paid within the period stated on the invoice or quotation.

Where payment is overdue, VLC Yachts may, where legally permitted and proportionate:

  • Suspend work

  • Postpone attendance

  • Withhold delivery of non-mandatory deliverables

  • Decline additional services

Nothing in this section limits mandatory rights available to consumers under applicable law.

10. CLIENT INFORMATION AND RESPONSIBILITIES

The client is responsible for providing information reasonably required for the assignment.

Depending on the service, this may include:

  • Yacht identification

  • Builder and model

  • Year of construction

  • Registration details

  • Current location

  • Ownership information

  • Yacht specifications

  • Maintenance records

  • Previous surveys

  • Technical documentation

  • Photographs

  • Planned attendance dates

  • Marina or shipyard contact details

  • Access arrangements

  • Relevant known defects or incidents

Information supplied should be accurate to the best of the client's knowledge.

The client should promptly advise VLC Yachts of any material change that may affect the scope, timing or cost of the assignment.

11. ACCESS TO THE YACHT

Where a service requires physical attendance, the client is responsible for ensuring, directly or through the appropriate yacht representative, that reasonable access to the vessel is available.

Where applicable, the client should arrange:

  • Marina access

  • Keys

  • Permission from the yacht owner

  • Shipyard access

  • Haul-out

  • Lifting

  • Pressure washing

  • Shore power

  • Engine operation

  • Crew attendance

  • Sea trial arrangements

  • Access to machinery and technical spaces

  • Relevant safety requirements

If access is unavailable or materially restricted, the scope of the service may need to be reduced, postponed or rescheduled.

12. INSPECTIONS AND TECHNICAL SERVICES

The scope of any yacht inspection, technical review or supervision service is limited to the work expressly agreed.

Unless specifically included, a general yacht inspection should not automatically be interpreted as including every possible:

  • Structural inspection

  • Machinery dismantling

  • Laboratory analysis

  • Electrical test

  • Rig inspection

  • Engine diagnostic test

  • Non-destructive examination

  • Underwater inspection

  • Classification review

  • Regulatory certification

  • Legal review

  • Tax review

Some systems or components may require specialist examination by independent professionals.

No inspection can guarantee that a yacht is completely free from hidden, intermittent or inaccessible defects.

13. YACHT BROKERAGE AND REPRESENTATION

Buyer and seller representation are separate professional roles.

For a particular transaction, VLC Yachts will act according to the mandate expressly agreed with the client.

Unless specifically agreed otherwise in legally permissible circumstances, VLC Yachts will not treat general website enquiries as creating a buyer or seller representation mandate.

A brokerage mandate should define matters such as:

  • Party represented

  • Scope of representation

  • Yacht concerned

  • Duration

  • Commercial terms

  • Brokerage fee or commission

  • Marketing authority where relevant

  • Client obligations

  • Termination provisions

The commercial and legal terms of an individual yacht transaction may also be governed by separate purchase, sale or brokerage documentation.

14. YACHT INFORMATION

Information concerning yachts may originate from:

  • Owners

  • Sellers

  • Brokers

  • Manufacturers

  • Shipyards

  • Technical documentation

  • Databases

  • Service records

  • Other third-party sources

Unless expressly verified and confirmed in writing, yacht specifications and descriptive information should be regarded as indicative.

Prospective purchasers should obtain appropriate independent verification of material matters before completing a yacht acquisition.

Such verification may include, where appropriate:

  • Pre-purchase survey

  • Haul-out inspection

  • Sea trial

  • Machinery inspection

  • Documentation review

  • Ownership verification

  • Registration review

  • Tax or VAT advice

  • Legal advice

  • Specialist technical inspection

15. YACHT VALUATIONS

Yacht valuations and market assessments are based on the information, yacht condition and market evidence reasonably available at the time of the assessment.

Relevant factors may include:

  • Builder

  • Model

  • Year

  • Condition

  • Equipment

  • Engine hours

  • Maintenance history

  • Refit history

  • Location

  • Comparable yachts

  • Current market conditions

A valuation is an opinion of market positioning and does not guarantee that a yacht will ultimately sell or purchase at a particular price.

16. THIRD-PARTY PROFESSIONALS

Certain assignments may require independent third-party professionals or companies.

These may include:

  • Marine surveyors

  • Naval architects

  • Marine engineers

  • Engine specialists

  • Rigging specialists

  • Electrical technicians

  • Shipyards

  • Repair contractors

  • Laboratories

  • Lawyers

  • Tax advisers

  • Registration specialists

  • Classification or certification bodies

Where a third party is independently appointed, its services are normally governed by its own contractual conditions and professional responsibility.

VLC Yachts does not assume responsibility for the independent professional work of third parties except where responsibility arises directly under applicable law.

17. CHANGES TO THE SCOPE OF WORK

A client may request additional work after an assignment has been accepted.

Additional work may require:

  • Revised fees

  • Additional attendance

  • Additional travel

  • Additional time

  • Appointment of specialists

  • Revised completion dates

Additional work should be agreed before it is undertaken wherever reasonably possible.

Urgent work requested during attendance may be subject to subsequent written confirmation where circumstances make prior documentation impracticable.

18. CANCELLATION AND RESCHEDULING

If a client wishes to cancel or reschedule an agreed attendance or service, VLC Yachts should be informed as early as reasonably possible.

Depending on the circumstances, the client may remain responsible for reasonable costs already incurred or irrevocably committed, including:

  • Travel

  • Accommodation

  • Transport bookings

  • Specialist attendance

  • Shipyard arrangements

  • Administrative work

  • Preparatory professional work

Any specific cancellation terms stated in the quotation or engagement agreement will apply to that assignment, subject to mandatory consumer rights.

Where VLC Yachts must cancel or reschedule due to circumstances outside reasonable control, the client will be informed as soon as reasonably possible.

19. DELAYS AND FORCE MAJEURE

Service dates may be affected by circumstances beyond reasonable control, including:

  • Weather

  • Sea conditions

  • Port restrictions

  • Marina restrictions

  • Shipyard delays

  • Yacht availability

  • Mechanical breakdown

  • Transport disruption

  • Illness or emergency

  • Regulatory restrictions

  • Strikes

  • Security incidents

  • Exceptional events

Where such circumstances affect performance, VLC Yachts will seek to coordinate a reasonable alternative where possible.

20. REPORTS AND DELIVERABLES

Where the agreed service includes a report, valuation, technical document or other deliverable, it is prepared for the purpose and client identified in the applicable engagement.

Unless expressly agreed otherwise, professional reports should not be:

  • Altered

  • Misrepresented

  • Reproduced selectively in a misleading manner

  • Relied upon for a materially different purpose

Third-party reliance on a professional report may require prior written agreement where appropriate.

The specific report or engagement terms may contain additional limitations regarding use and reliance.

21. CONFIDENTIALITY

VLC Yachts recognises that yacht brokerage and technical projects may involve commercially sensitive or private information.

Information relating to matters such as:

  • Yacht acquisitions

  • Yacht sales

  • Valuations

  • Negotiations

  • Technical findings

  • Ownership matters

  • Refit projects

may be treated confidentially within the scope of the professional relationship.

Specific confidentiality provisions may also be established through:

  • Brokerage mandates

  • Service agreements

  • Non-disclosure agreements

  • Other written arrangements

Nothing in this section prevents disclosure where required by law or reasonably necessary for the agreed professional service.

22. INTELLECTUAL PROPERTY

Unless otherwise agreed, intellectual property rights in original reports, technical documents, written material, photographs, drawings or other professional content produced by VLC Yachts remain subject to applicable intellectual-property law and the relevant engagement terms.

Payment for a service does not automatically transfer intellectual-property ownership unless such transfer is expressly agreed.

The client may use deliverables for the purpose for which they were commissioned, subject to any applicable specific conditions.

23. LIMITATION OF LIABILITY

VLC Yachts will perform accepted professional services with reasonable professional care within the scope agreed for the assignment.

No clause in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, nothing in these terms affects mandatory consumer rights.

Any service-specific limitation, allocation of risk or professional responsibility must be interpreted together with the applicable quotation, mandate, engagement terms and mandatory law.

24. CONSUMER RIGHTS

Where the client qualifies as a consumer under applicable law, mandatory consumer-protection legislation applies.

Nothing in these Terms & Conditions is intended to restrict rights that cannot lawfully be waived or limited.

Different rules may apply to professional or business clients acting for purposes related to their trade, business or profession.

25. DISTANCE CONTRACTS AND RIGHT OF WITHDRAWAL

Where a consumer enters into a contract at a distance, and the statutory right of withdrawal applies, the consumer will have the rights provided by applicable consumer legislation.

As a general rule, qualifying consumers may have a 14-calendar-day withdrawal period, subject to the statutory conditions and exceptions.

Where a consumer expressly requests that a service begin during the withdrawal period, the legal consequences will depend on the work performed and applicable law.

Where legally applicable:

  • the consumer may be required to pay a proportionate amount for services supplied before withdrawal; and

  • the right of withdrawal may cease after the service has been fully performed where the legal requirements for prior express consent and acknowledgement have been satisfied.

Any mandatory information concerning withdrawal will be provided where required for the particular contract.

26. ELECTRONIC COMMUNICATIONS AND CONTRACTING

Communications concerning quotations, service acceptance, project instructions and contractual documentation may take place electronically.

Electronic communications may include:

  • Website forms

  • Email

  • Electronic documents

  • Electronic acceptance systems

  • Other agreed digital communication methods

Where a contract is concluded electronically, VLC Yachts will provide any pre-contractual information required by applicable law.

A website enquiry or Request a Quote submission does not, by itself, constitute acceptance of a paid service unless the relevant contracting process expressly states otherwise.

27. DATA PROTECTION

Personal data submitted in connection with enquiries, quotations and professional services will be processed according to the VLC Yachts Privacy Policy and applicable data-protection legislation.

Clients should avoid sending unnecessary sensitive personal information.

Where information concerning other persons is supplied, the person providing it should have an appropriate basis for doing so.

28. COOKIES AND WEBSITE TECHNOLOGIES

The use of cookies and similar website technologies is governed by the VLC Yachts Cookie Policy.

Non-essential technologies requiring consent will be managed through the applicable cookie-consent mechanism.

29. WEBSITE TERMS

Use of vlcyachts.com is additionally subject to the VLC Yachts Legal Notice.

Website content is provided for general informational and commercial purposes and should not be treated as a substitute for specific professional advice, technical verification or contractual documentation.

30. COMPLAINTS AND SERVICE CONCERNS

Clients who have a concern regarding a service should contact VLC Yachts as soon as reasonably possible and provide:

  • Client identification

  • Yacht or project concerned

  • Service commissioned

  • Relevant dates

  • Description of the concern

  • Supporting information where appropriate

VLC Yachts will review the matter and seek to address legitimate concerns in accordance with the applicable agreement and law.

Where mandatory consumer complaint procedures apply, the consumer retains all rights provided by law.

31. SEVERABILITY

If any provision of these Terms & Conditions is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply insofar as legally possible.

The affected provision will be interpreted or adjusted only to the extent necessary to comply with applicable law.

32. CHANGES TO THESE TERMS

These Terms & Conditions may be updated where necessary to reflect:

  • Changes in legislation

  • Regulatory requirements

  • Changes in services

  • Changes in business procedures

  • Changes in website functionality

  • Operational or technical requirements

The version applicable to an accepted professional assignment will normally be the version incorporated into or referred to by the relevant agreement, unless mandatory law requires otherwise.

The current website version will be identified by the revision date shown at the top of this page.

33. APPLICABLE LAW

These Terms & Conditions are governed by Spanish law, without prejudice to any mandatory consumer-protection, private international law or other rules applicable to a particular client or transaction.

34. JURISDICTION

Where legally permitted, disputes arising from these Terms & Conditions or the related professional relationship may be submitted to the competent courts and tribunals of Valencia, Spain.

Where the client qualifies as a consumer or another mandatory jurisdiction rule applies, jurisdiction will be determined under applicable legislation.

Nothing in these Terms & Conditions restricts a consumer's right to rely on a mandatory forum where applicable.
